These User Terms of Service (the “User Terms”) govern your access to and use of the EntryDesk AI-agent platform and related services (the “Services”). Please read them carefully. Even though you may be signing onto an existing Workspace set up by your employer or another organization, these User Terms apply to you as an individual user of the Services. We’re glad you’re here.
These User Terms are a legally binding contract between you and GNTC Inc. (“GNTC,” “we,” “us”). If you access or use the Services, or continue accessing or using the Services after being notified of a change to these User Terms, you confirm that you have read, understood, and agreed to be bound by these User Terms, including the rules set out in the section “A Few Ground Rules” below.
An organization or other third party that we refer to in these User Terms as “Client” has invited you to a Workspace — a unique domain where a group of authorized users may access the Services. If you are joining one of your employer’s Workspaces, for example, your employer is our Client. If you are joining a Workspace created by a friend using a personal email address to work on a new startup idea, that friend is our Client and is authorizing you to join that Workspace.
Client has separately agreed to the EntryDesk Terms of Service (the “Client Terms”) or entered into a written agreement (in either case, the “Contract”) with us or one of our affiliates. The Contract is what permits Client to create and configure a Workspace so that you and others can join. Each invitee user that has been granted access to the Services, including you, is an “Authorized User.”
When you or another Authorized User submits prompts, files, messages, or other content to the Services (“Client Data”), you acknowledge and agree that Client Data is owned and controlled by Client, and the Contract gives Client broad choices over that Client Data. For example, Client may provision or deprovision access to the Services, enable or disable third-party integrations, manage permissions, retention and export settings, transfer or assign Workspaces, share channels, or consolidate the Workspace with other Workspaces. These choices and instructions may result in the access, use, disclosure, modification, or deletion of some or all Client Data. Please refer to the EntryDesk Help Center or contact Client’s administrator for more detail on available settings.
AS BETWEEN GNTC AND CLIENT, YOU AGREE THAT IT IS SOLELY CLIENT’S RESPONSIBILITY TO: (A) INFORM YOU AND ANY OTHER AUTHORIZED USER OF ANY RELEVANT CLIENT POLICIES AND PRACTICES AND ANY SETTINGS THAT MAY IMPACT THE PROCESSING OF CLIENT DATA; (B) OBTAIN ANY RIGHTS, PERMISSIONS, OR CONSENTS FROM YOU AND ANY OTHER AUTHORIZED USER THAT ARE NECESSARY FOR THE LAWFUL USE OF CLIENT DATA AND THE OPERATION OF THE SERVICES; (C) ENSURE THAT THE TRANSFER AND PROCESSING OF CLIENT DATA UNDER THE CONTRACT IS LAWFUL; AND (D) RESPOND TO AND RESOLVE ANY DISPUTE WITH YOU OR ANY OTHER AUTHORIZED USER RELATING TO OR BASED ON CLIENT DATA, THE SERVICES, OR CLIENT’S FAILURE TO FULFILL THESE OBLIGATIONS. GNTC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICES, WHICH ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS.
To the extent prohibited by applicable law, the Services are not intended for and should not be used by anyone under eighteen (18) years of age or the applicable age of majority according to the data-protection laws and regulations in your jurisdiction, whichever is higher. You represent that you are over the legal age and are the intended recipient of Client’s invitation to the Services. You may not access or use the Services for any purpose if either of those representations is untrue.
To help ensure a safe and productive environment for everyone on EntryDesk, you must follow the rules in this “A Few Ground Rules” section, together with any additional policies established by Client. If you see inappropriate behavior or content, please report it to Client’s primary administrator, or to GNTC at [email protected]. If you use EntryDesk through the Apple iOS or Android mobile application, you may also use the in-app reporting mechanism described in Section 12.6 of the Client Terms; reports submitted there are routed to the same address.
Don’t use EntryDesk to create, store, transmit, or share content that:
If you use EntryDesk through a mobile application distributed via the Apple App Store or Google Play Store, don’t submit, post, or transmit content that would be considered objectionable under the applicable store’s content standards — including content that is defamatory, discriminatory, obscene, or that promotes or glorifies violence, self-harm, or harm to others. We may remove or filter such content, and where appropriate, permanently bar offending users from the mobile application.
Don’t abuse the Services. Don’t introduce malicious code, run denial-of-service attacks, or probe for vulnerabilities. Don’t hammer the service beyond configured rate limits or intended use. Don’t reverse engineer, decompile, disassemble, or attempt to derive the source code, model weights, or underlying algorithms of the Services. Don’t bypass, disable, or circumvent any access, rate-limiting, content-filtering, authentication, or security mechanism. Don’t share your Seat (a paid license to access the Services assigned to you) or use a single account for multiple individuals in a way that circumvents per-Seat pricing. Don’t scrape, crawl, or systematically extract data from the Services other than through authorized APIs used in accordance with the documentation. And don’t use the Services to benchmark, train, or build a competing AI-agent or orchestration product.
Don’t misuse connected systems. When you connect EntryDesk to other systems (such as Google Workspace, Microsoft 365, Slack, Dropbox, Notion, Salesforce, NetSuite, or Redash), don’t access, extract, transmit, or manipulate data in those systems beyond the access Client’s IT administrator granted or what the connected system’s own terms allow. Don’t automate workflows designed to bypass, disable, or override Client’s internal security controls, audit logging, approval workflows, or segregation-of-duties controls. Don’t connect EntryDesk to systems you don’t own or aren’t authorized to administer. And don’t store or transmit other people’s API keys, OAuth tokens, or credentials without proper authorization.
Don’t misuse AI outputs. Don’t use AI-generated output to produce, spread, or publicly share materially misleading information, including disinformation and impersonation. Don’t use EntryDesk to generate non-consensual intimate imagery or deepfakes of identifiable people. Don’t rely on AI output as the sole basis for medical, legal, financial, regulatory, or other high-stakes decisions without qualified human review. Don’t present AI output to third parties as human-authored where doing so would be misleading in context or would violate applicable law. And don’t use EntryDesk in fully autonomous decision-making that produces legal or similarly significant effects on people without appropriate safeguards and human oversight. In the mobile applications specifically, don’t try to elicit AI output that would, if shared, violate the content rules above, and don’t disable, bypass, or circumvent the in-app content safeguards.
High-risk uses — ask first. Don’t use EntryDesk for any of the following without GNTC’s prior written authorization (we may require additional contractual commitments): (i) safety-critical systems (aircraft control, nuclear facilities, life-support, emergency response); (ii) weapons development or military targeting; (iii) mass surveillance or biometric identification in public spaces, where prohibited by applicable law; (iv) credit, housing, employment, insurance, or education eligibility decisions about individuals, unless adequate human oversight and bias-mitigation measures are in place; or (v) processing of HIPAA-regulated health data or its equivalent in your jurisdiction without the required agreements.
Keep your Workspace credentials private. Don’t share them, and don’t share your Seat. If you administer a Workspace, grant least-privilege access when you add users and configure connectors. Don’t try to access any account, Workspace, or data that isn’t yours. If something looks wrong — unexpected sign-ins, leaked credentials, suspicious activity — let us know at [email protected] right away.
These User Terms remain effective until Client’s subscription for you expires or terminates, or your access to the Services has been terminated by Client or us. Please contact Client if at any time or for any reason you wish to terminate your access, including due to a disagreement with any update to these User Terms.
If we believe that there is a violation of the Contract, these User Terms, or any of our other policies that can be remedied by Client’s removal of certain Client Data or by Client taking other action, we will, in most cases, ask Client to take action rather than intervene directly. We may step in ourselves and take what we determine to be appropriate action (including disabling your account) if Client does not act, or if we believe there is a credible risk of harm to us, the Services, other Authorized Users, or third parties.
IN NO EVENT WILL YOU OR GNTC HAVE ANY LIABILITY TO THE OTHER FOR ANY LOST PROFITS OR REVENUES OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNLESS YOU ARE ALSO A CLIENT (AND WITHOUT LIMITATION TO OUR RIGHTS AND REMEDIES UNDER THE CONTRACT), YOU WILL HAVE NO FINANCIAL LIABILITY TO US FOR A BREACH OF THESE USER TERMS. OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY BREACH OF THESE USER TERMS IS ONE HUNDRED U.S. DOLLARS ($100) IN THE AGGREGATE. THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW AND DO NOT LIMIT EITHER PARTY’S RIGHT TO SEEK AND OBTAIN EQUITABLE RELIEF.
EntryDesk is a workplace productivity tool intended for use by businesses and organizations and not for consumer purposes. To the maximum extent permitted by law, you acknowledge and agree that consumer protection laws do not apply. If any non-excludable consumer laws do apply in your jurisdiction, nothing in these User Terms will restrict, exclude, or modify any statutory warranties, guarantees, rights, or remedies you have, and our liability is limited (at our option) to the replacement, repair, or resupply of the Services or the pro-rata refund to Client of pre-paid fees for the subscription covering the remainder of the term.
The sections titled “The Relationship Between You, Client, and Us,” “Limitation of Liability,” “Application of Consumer Law,” “Survival,” and all of the provisions under the general heading “General Provisions” will survive any termination or expiration of these User Terms.
Email and Notices. Except as otherwise set forth in these User Terms, all notices to you under these User Terms will be by email to the address associated with your account, or by in-platform notification through the Services. Notices to GNTC should be sent to [email protected]. A notice will be deemed to have been duly given (a) the day after it is sent, in the case of a notice sent by email; and (b) the same day, in the case of a notice sent through the Services. Notices under the Contract will be delivered solely to Client in accordance with the terms of that agreement.
Privacy Policy. Please review the EntryDesk Privacy Policy for more information on how we collect and use data relating to the use and performance of the Services.
Modifications. As our business evolves, we may change these User Terms. If we make a material change, we will provide you with reasonable notice prior to the change taking effect, either by emailing the address associated with your account or by messaging you through the Services. You can review the most current version of these User Terms at any time through the Services or on the EntryDesk website. Any material revisions will become effective on the date set forth in our notice, and all other changes will become effective on the date we publish the change. If you use the Services after the effective date of any changes, that use will constitute your acceptance of the revised User Terms.
Waiver. No failure or delay by either party in exercising any right under these User Terms will constitute a waiver of that right. No waiver under these User Terms will be effective unless made in writing and signed by an authorized representative of the party being deemed to have granted the waiver.
Severability. These User Terms will be enforced to the fullest extent permitted under applicable law. If any provision is held by a court of competent jurisdiction to be contrary to law, that provision will be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions will remain in full force and effect.
Assignment. You may not assign any of your rights or delegate your obligations under these User Terms, whether by operation of law or otherwise, without our prior written consent (not to be unreasonably withheld). We may assign these User Terms in their entirety, without your consent, to a corporate affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
Governing Law; Venue; Fees. These User Terms, and any disputes arising out of or related to them, will be governed exclusively by the same applicable governing law of the Contract, without regard to conflicts-of-laws rules or the United Nations Convention on the International Sale of Goods. The Taipei District Court (臺灣臺北地方法院) as the court of first instance will have exclusive jurisdiction to adjudicate any dispute arising out of or relating to these User Terms, or their formation, interpretation, or enforcement. Each party hereby consents and submits to the exclusive jurisdiction of such courts. In any action or proceeding to enforce rights under these User Terms, the prevailing party will be entitled to recover its reasonable costs and attorney’s fees.
Entire Agreement. These User Terms, together with any terms incorporated by reference, constitute the entire agreement between you and GNTC concerning the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning their subject matter. To the extent of any conflict or inconsistency between these User Terms and any pages referenced in these User Terms, the terms of these User Terms will first prevail; provided, however, that if there is a conflict or inconsistency between the Contract and these User Terms, the terms of the Contract will first prevail, followed by the provisions in these User Terms, and then followed by the pages referenced in these User Terms (e.g., the Privacy Policy). Client will be responsible for notifying Authorized Users of any such conflicts or inconsistencies, and until that time the terms set forth herein will be binding.
